In addition, when using particular services or materials on this site, users shall be subject to any posted rules applicable to such services or materials that may contain terms and conditions in addition to those in these Terms of Use. All such guidelines or rules are hereby incorporated by reference into these Terms of Use.
BY USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THE THESE TERMS OF USE, PLEASE EXIT THE SITE NOW. YOUR REMEDY FOR DISSATISFACTION WITH THIS SITE, OR ANY PRODUCTS, SERVICES, CONTENT, OR OTHER INFORMATION AVAILABLE ON OR THROUGH THIS SITE, IS TO STOP USING THE SITE AND/OR THOSE PARTICULAR PRODUCTS OR SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THIS SITE.
These Terms of Use are effective as of January 3, 2010. We expressly reserve the right to change these Terms of Use from time to time without notice to you. You acknowledge and agree that it is your responsibility to review this site and these Terms of Use from time to time and to familiarize yourself with any modifications.

Your continued use of this site after such modifications will constitute acknowledgement of the modified Terms of Use and agreement to abide and be bound by the modified Terms of Use. As used in these Terms of Use, references to our "Affiliates" include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers, and includes (without limitation) all parties involved in creating, producing, and/or delivering this site and/or its contents.

 

2. Description of Services

We make various services available on this site including, but not limited to, delivering web and mobile applications as a platform for users to: create and edit events, create event registrations, create ticketing for events, create event invitations, find, RSVP and/or buy ticket for events, connect with other event attendees, sponsor events, find sponsorship for events,  publish events and tickets with QR codes, deliver and validate coupons via mobile, share events to popular social media channels including but not limited to Facebook, Twitter and Linkedin, track event sharing, identify event ambassadors, accumulate event reward points, and other like services. You are responsible for providing, at your own expense, all equipment necessary to use the services, including a computer, scanner, mobile device, modem, and Internet access (including payment of all fees associated with such access).

We reserve the sole right to either modify or discontinue the site, including any of the sites features, at any time with or without notice to you. We will not be liable to you or any third party should we exercise such right. Any new features that augment or enhance the then-current services on this site shall also be subject to these Terms of Use.

 

3. Registration Data and Privacy

obtained by completing our online registration form, which requests certain information and data ("Registration Data"), and maintaining and updating your Registration Data as required. By registering, you agree that all information provided in the Registration Data is true and accurate and that you will maintain and update this information as required in order to keep it current, complete, and accurate.
You also grant us the right to disclose to third parties certain Registration Data about you. The information we obtain through your use of this site, including your Registration Data, is subject to our Privacy Policy, which is specifically incorporated into these Terms of Use.

3.1 Children.* Collecting personal information from children under the age of 18 ("minor children") through the Services is prohibited. No Content should be directed toward minor children. Minor children are not eligible to use the site, and we ask that they do not submit any personal information to us.

 

4. Conduct on Site

Your use of the site is subject to all applicable laws and regulations, and you are solely responsible for the substance of your communications through the site. By posting information in or otherwise using any communications service, chat room, message board, newsgroup, software library, or other interactive service that may be available to you on or through this site, you agree that you will not upload, share, post, or otherwise distribute or facilitate distribution of any content -- including text, communications, software, images, sounds, data, or other information -- that:
a. is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates our rules or policies;
b. victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
c. infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party;
d. constitutes unauthorized or unsolicited advertising, junk or bulk email (also known as "spamming"), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;
e. contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party; or
f. impersonates any person or entity, including any of our employees or representatives.
We neither endorse nor assume any liability for the contents of any material uploaded or submitted by third party users of the site. We generally do not pre-screen, monitor, or edit the content posted by users of communications services, chat rooms, message boards, newsgroups, software libraries, or other interactive services that may be available on or through this site. However, we and our agents have the right at their sole discretion to remove any content that, in our judgment, does not comply with these Terms of Use and any other rules of user conduct for our site, or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such content. You hereby consent to such removal and waive any claim against us arising out of such removal of content. See "Use of Your Materials" below for a description of the procedures to be followed in the event that any party believes that content posted on this site infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party.
In addition, you may not use your account to breach security of another account or attempt to gain unauthorized access to another network or server. Not all areas of the site may be available to you or other authorized users of the site. You shall not interfere with anyone else’s use and enjoyment of the site or other similar services. Users who violate systems or network security may incur criminal or civil liability.
You agree that we may at any time, and at our sole discretion, terminate your membership, account, or other affiliation with our site without prior notice to you for violating any of the above provisions. In addition, you acknowledge that we will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.

This site may link you to other sites on the Internet or otherwise include references to information, documents, software, materials and/or services provided by other parties. These sites may contain information or material that some people may find inappropriate or offensive. 5.1 Google Analytics.* This website uses Google Analytics, a web analytics service provided by Google, Inc. (“Google”). Google Analytics uses “cookies”, which are text files placed on your computer, to help the website analyze how users use the site. The information generated by the cookie about your use of the website (including your IP address) will be transmitted to and stored by Google on servers in the United States. Google will use this information for the purpose of evaluating your use of the website, compiling reports on website activity for website operators and providing other services relating to website activity and internet usage. 5.2 Venues.* Through our Platform we provide tools that enable our users to arrange physical events at venues that include, but are not limited to, public parks, private homes or private enterprises (such as coffee shops or retail stores). We do not supervise these eEvent Events and are not involved in any way with the actions of any individuals at these eEvent Events. As a result, we have no control over the identity or actions of the individuals who are present at these eEvent Events, and we request that our users exercise caution and good judgment when attending these eEvent Events.

While you retain all rights in such communications or material, you grant us and our agents and affiliates a non-exclusive, paid-up, perpetual, and worldwide right to copy, distribute, display, perform, publish, translate, adapt, modify, and otherwise use such material for any purpose regardless of the form or medium (now known or not currently known) in which it is used.

However, such devices or techniques are not perfect, and we will not be responsible for any legitimate communication that is blocked, or for any unsolicited communication that is not blocked.
Mailboxes may have a limited storage capacity. If you exceed the maximum permitted storage space, we may employ automated devices that delete or block email messages that exceed the limit. We will not be responsible for such deleted or blocked messages.

 

14. International Use

Although this site may be accessible worldwide, we make no representation that materials on this site are appropriate or available for use in locations outside the United States, and accessing them from territories where their contents are illegal is prohibited. This site (excluding any linked sites) is controlled by us from our offices within the Ohio, United States of America. It can be accessed from all 50 states, as well as from other countries around the world. As each of these places has laws that may differ from those of Ohio, by accessing this site both of us agree that the statutes and laws of the State of Ohio, without regard to the conflicts of laws principles thereof and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this site and the purchase of products and services available through this site. Each of us agrees and hereby submits to the exclusive personal jurisdiction and venue any court of competent jurisdiction within the State of Ohio with respect to such matters.

Notices to you may be sent to the address supplied by you as part of your Registration Data. In addition, we may broadcast notices or messages through the site to inform you of changes to the site or other matters of importance, and such broadcasts shall constitute notice to you at the time of sending.

 

18. Entire Agreement

These terms and conditions constitute the entire agreement and understanding between us concerning the subject matter of this agreement and supersedes all prior agreements and understandings of the parties with respect to that subject matter. These Terms of Use may not be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for products or services which are subject to additional or altered terms and conditions shall be null and void, unless otherwise agreed to in a written agreement signed by you and us. To the extent that anything in or associated with this site is in conflict or inconsistent with these Terms of Use, these Terms of Use shall take precedence.

 

19. Miscellaneous

In any action to enforce these Terms of Use, the prevailing party will be entitled to costs and attorneys fees. Any cause of action brought by you against us or our Affiliates must be instituted with one year after the cause of action arises or be deemed forever waived and barred. We may free assign our rights and obligations under these Terms of Use.

In addition to any excuse provided by applicable law, we shall be excused from liability for non-delivery or delay in delivery of products and services available through our site arising from any event beyond our reasonable control, whether or not foreseeable by either party, including but not limited to, labor disturbance, war, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes or events beyond our reasonable control, whether or not similar to those which are enumerated above. 21. Fees and Payments*

21.1 General. Access to our websites and use of selected features of our Platform is free. We may charge fees for various premium features and services that we offer, and we will notify you of those charges at the time that we offer you the premium features or services for a fee. At our sole discretion, and by notifying you on our website, change this policy and begin charging for access to our website and other features and services, and we may, in our sole discretion, add, remove or change the features and services we offer or the fees (including the amount or the type of fees) we charge at any time. If we introduce a new service or charge a new fee, we will establish and notify you of the fees for that service at the launch of the service or start of charging a new fee. If we notify you of new fees or change the fees for an existing service, you agree to pay all fees and charges specified and all applicable taxes for your continued use of the applicable service. We are not responsible for any charges or expenses you incur resulting from being billed by us in accordance with these Terms of Use

(e.g., overdrawn accounts, exceeding account limits, etc.).

21.2 Payment Processing, Refunds and Honoring Tickets. eEvent, Inc. is not affiliated with PayPal, and neither party is responsible for the actions or performance (or lack thereof) of the other. This terms of this agreement shall not in any way supersede the terms of use of any other service provider, including PayPal, nor shall the terms of use of any other service provider supersede the terms of this agreement.
Payment Processing.  eEvent, Inc. is currently using PayPal as its payment gateway. Using PayPal, eEvent, Inc. will collect all applicable monetary payment transactions to its PayPal account, deduct any applicable fees and pass along the net amount (gross payments received – eEvent fees) to Organizer PayPal account. Therefore eEvent, Inc will not send any invoice to the event organizer as each payment sent to organizer is the net amount that the organizer should receive.
Refund. By using services that eEvent, Inc offered, you agree to accept the responsibility for providing refunds to Buyers at your own discretion. It is the sole responsibility of the event organizer to communicate and provide refunds to ticket buyers, and to communicate such refunds to eEvent. As soon as the refund occurs, Organizer is responsible to contact eEvent, Inc and eEvent will begin its refund process to the Buyers. The process may take up to 30 days. eEvent, Inc. will not be responsible or liable for refunds or the lack thereof issued in the course of the use of PayPal. eEvent will not be held liable for chargebacks or refunds (or lack thereof) during the use of PayPal.
Honoring Tickets. Event organizer agrees to honor and fulfill all ticketing commitments that have been confirmed by eEvent.

21.3 Fees Assessed by Organizers; Payments to Organizers. Some Organizers may require or request fees for membership in an Organization, attendance or participation in an eEvent event. Individual eEvent event fees, membership or otherwise, are at the discretion of each Organizer, who decides whether such fees are required, the amount frequency, payment options, refund policies, and how such fees are spent. You may also have the option to make voluntary contributions to particular Organizers. Fees assessed by Organizers are remitted to the Organizer  and not to eEvent. To the extent that you use PayPal or another payment mechanism (e.g., check or cash), to pay fees assessed by an Organizer , you acknowledge that eEvent does not control the transaction, and that you bear all risk in connection with the transaction. Refunds of any payment to any Organizer  are subject to that Organizer's  policies and applicable law. If you believe any payment to an Organizer  is in error, you must contact the Organizer  to seek resolution. You should use common sense and be careful in deciding whether to make a payment to an Organizer . Organizers  have full discretion whether and how to spend money in connection with their eEvent events and Organizations. We cannot ensure that an Organizer  is legitimate and truthful, that he or she will use payments as promised, or that you will be happy with how your payment is spent. Your correspondence or business dealings with, or participation in promotions of eEvent events, including payment and related services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the applicable Organizer .

21.4 Taxes; Withholding. You are responsible for all taxes associated with sale of tickets through the Service. eEvent reserves the right to withhold the payment of any amounts owed to you hereunder if eEvent suspects or determines that such amounts have been generated in (i) a fraudulent manner, (ii) violation of this Term of Use, or (iii) violation of any applicable laws or regulations (foreign or domestic). Such withholding may be temporary or permanent (as determined by eEvent).

21.5 Third party transactions. We reserve the right to limit the number of eEvent accounts that may be charged to a particular PayPal, credit card or other account ORGANIZERS ACKNOWLEDGE AND AGREE THAT RECEIPT OF ANY FEE FROM ANY THIRD PARTY IS A THIRD PARTY TRANSACTION BETWEEN YOU AND SUCH THIRD PARTY, AND THAT YOU BEAR ALL RISK IN CONNECTION WITH YOUR THIRD PARTY TRANSACTIONS. If you believe that any accounting by a Third Party is in error, you must contact such other Third Party, and not eEvent, to seek resolution. Your correspondence or business dealings with any Third Party, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such Third Party.

21.6 Promotions; Coupon Codes; Sponsorships. We may from time to time offer promotions where we may discount or waive certain eEvent fees. We may offer coupon codes as a mechanism for processing a discount or credit. Coupon codes have no cash value, are not retroactive, and unless specified, are non-transferable and expire within 30 days of date of issue.  

21.7 Consent to Disclosure. You acknowledge and agree that eEvent may disclose Your Information (as defined in Section 4) if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to:(a) comply with a current judicial proceeding, a court order or legal process served on us or our website, (b) enforce this Agreement, (c) respond to claims that Your Information violates the rights of third parties; (d) protect the rights, property or personal safety of eEvent, its employees, users and the public; or (e) enable the transfer or sale to another entity of all or substantially all of our stock or assets in the line of business to which this Agreement relates, or upon any other corporate reorganization, subject to the promises made in this Agreement. We also may disclose any information about you to law enforcement or other government officials as we, in our sole discretion, believe necessary or appropriate, in connection with an investigation of fraud, intellectual property infringements, or other activity that is illegal or that we believe may expose us or you to legal liability.

 

22. Communications from eEvent and Members of the eEvent Community.*

22.1 eEvent Communications. You understand that certain communications, such as eEvent service announcements and newsletters, as well as offers of sponsorship or promotion relevant and beneficial to you or your event are part of our Platform. By using our Platform, you expressly agree to receive such communications from eEvent.

22.2 Communications with Members of the eEvent Community.

eEvent Organization Mailing List and Newsletters You may receive an email or newsletter from other members or organizers of an eEvent via the link in your profile. Your personal email is not revealed in this action. You may send an email to, or reply to an email from, other members of eEvent. Bear in mind that when you send an email to a mailing list, your email address will be disclosed to other members of your eEvent who have also subscribed to the mailing list. 

22.3 Role of Organizer. Please be aware that an Organizer is: (a) not eEvent's representative or agent, and therefore an Organizer may not enter into contractual relations or obligations on eEvent's behalf; (b) not entitled to enter into contractual relations or obligations on behalf of specific members unless expressly agreed by those members; and (c) acting independently, and therefore no contractual relationship or obligation arises between an Organizer/member unless otherwise agreed.

22.4 Other Users. We do not control the information provided by other users, which is made available through our system. You may find other users' information to be offensive, harmful, inaccurate or deceptive. Please use caution and common sense when using our website. Please note there is a risk that you may be dealing with underage persons or people acting under false pretense.

In order to use this web site, an eEvent Event Organizer must first complete the registration form. During registration an Event Organizer is required to give its contact information (such as email address). Any information provided is to improve the experience to our Customers.

Cookies
A cookie is a piece of data stored on the user's hard drive containing information about the Customer. By setting a cookie on our site, the user would not have to log in a password more than once, thereby saving time while on our site. We use cookies for the convenience of our event Customers.

Log Files
We use IP addresses to analyze trends, administer the site, track user's movement, and gather broad demographic information for aggregate use.

Links
This web site contains links to other sites. Please be aware that we, eEvent, are not responsible for the privacy practices of such other sites. We encourage our users to be aware when they leave our site and to read the privacy statements of each and every web site that collects personally identifiable information. This privacy statement applies solely to information collected by eEvent at this Web site.

Newsletter
We will offer a newsletter to our Customers. If a Customer wishes to subscribe to our newsletter, we ask for contact information such as name and email address. You will have the choice to Opt-Out of this newsletter. This information will not be made available to any third party for advertising or direct marketing purposes.

Surveys & Contests
From time-to-time our site requests information from users via surveys or contests. Participation in these surveys or contests is completely voluntary and the Customer therefore has a choice whether or not to disclose this information.
